What EqDeal records
A Buy & Sell (B&S) transaction moves an existing economic position from a seller to a buyer. Before issuance, EqDeal transfers a percentage of the seller’s contractual rights. After issuance, it transfers a quantity of shares, reserves, or both. The operation changes ownership; it does not create additional company equity.
Choose the transaction structure
- Original contract terms — the buyer enters the seller’s existing contract with its rights and obligations unchanged.
- Change contract terms — issued shares or reserves move to a different destination contract. This is not available for a pre-issuance rights transfer, and the destination contract must have a positive post-money valuation.
Before you begin
- Confirm the executed transfer documents, effective date, total value paid, seller, and buyer.
- Open the exact seller investment. A stakeholder may have positions in more than one contract.
- Check whether the position is still contractual rights or already contains issued shares or reserves.
- For an issued position, reconcile the seller’s available share and reserve balances separately.
- If the buyer already exists, select the existing legal person instead of creating a duplicate.
Record the transfer
Company → Cap table → Seller contract → Seller investment → Buy & Sell
- Select the seller investment and the buyer. Where the workflow permits it, the buyer may also be the company treasury.
- Choose whether the buyer keeps the original contract terms or receives the position in a destination contract.
- Choose Transfer all or Transfer part. For issued positions, enter shares and reserves separately; for unissued positions, enter the percentage of the seller’s current rights.
- Enter the transaction date. It must be later than the seller contract’s issue date.
- Enter Value paid as the total agreed transaction price, not the unit price per share.
- Review the calculated rights and ownership effects, confirm the transaction, and attach the supporting PDFs.
Reconcile immediately
Verify the transaction history, seller balance, buyer balance, contract positions, and company totals. For a share or reserve transfer, the seller’s decrease and buyer’s increase must balance, and company-wide issued equity must not increase solely because ownership changed.
The scope, date, price, rights percentage, and share or reserve quantities have different legal and cap-table effects. Resolve discrepancies against the signed documents before confirming.
