Choose the correct corporate action
- Split round — multiplies eligible issued quantities proportionally. You can target all equity or filter by equity type and selected equity classes.
- Rounding round — removes eligible decimal quantities by rounding down or to the closest integer. It is not a substitute for a legally approved split.
Create a split round
- Open the company cap table and choose Split shares.
- Enter a split date and multiplier of at least 0.01.
- Optionally select an equity type and one or more equity classes. An empty selection applies the broader split scope shown by EqDeal.
- Review the preview by equity class, including original quantities, multiplier, new quantities, and total issued after the split.
The split date cannot equal an existing round or contract date. EqDeal also requires issued equity before the split date and rejects a split when issuances exist on or after that date; historical order must be corrected before the split can be created.
Create a rounding round
- Choose Decimal cleaning and enter the effective date.
- Choose Round to smaller integer or Round to closer integer according to the approved treatment.
- Decide whether treasury shares and reserves may be used when rounding up. This can mitigate cases where there are not enough decimals elsewhere to balance closest-integer rounding.
- Review transfers to treasury, transfers from treasury, the net treasury effect, and every affected balance.
Issue and reconcile
Before issuing either round, compare the preview with the corporate approval. After issuance, reconcile each affected stakeholder and equity class, total issued equity, treasury movements, and percentage ownership.
Editing and deletion
An eligible unissued split or rounding round can be edited or deleted through its normal controls. Editing an issued special round is restricted because its effects are already historical.
An eligible company editor can delete an issued special round through the UX. This invokes the destructive issuance-erasure workflow: it may erase this round and every subsequent issuance and manual transfer before deleting the round. Public API and MCP clients cannot delete issuance history.
Review the issuance-erasure guide, all later events, valuations, option-pool effects, and supporting documents before proceeding. The operation cannot be undone.
